A Shareholders’ agreement is a contract among the shareholders of a company, the founders and the company itself that governs their rights and obligations towards each other. It often includes provisions regarding the sale of shares, among other matters.

While the execution of a Shareholders’ Agreement is not mandatory, it may be advantageous to address certain points through a separate contractual agreement rather than the company’s articles of association. Notably, the Shareholders’ Agreement does not need to be publicly disclosed, whereas the articles of association are publicly accessible via the commercial register.

In most cases a Shareholders’ Agreement needs to get notarized in order to be valid.
