A Non-Disclosure Agreement (NDA) is a legal document stating that someone will not spread certain information disclosed to them.

The parties disclosing information can protect themselves by making sure that sensitive information will not reach third parties - especially competitors. Within the NDA the information to be disclosed should be described as specifically as possible.

To ensure enforceability, it makes sense to stipulate a contractual penalty in the event of a breach of the NDA. Although claims for injunctive relief and damages exist even without a contractual penalty, in practice it is often difficult to prove quantifiable damage.
